1. Acceptance of Terms

Welcome to Maxam AI. These Terms of Service ("Terms") constitute a legally binding agreement between you and Maxam AI ("we", "us", or "our") governing your access to and use of the Maxam AI platform, including our website, API gateway, chat services, and any related services (collectively, the "Services").

By creating an account, checking the acceptance box during registration, or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not register for or use the Services.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that:

You have the legal capacity to enter into a binding contract;
You are not barred from using the Services under applicable laws or sanctions;
All information you provide during registration is accurate, current, and complete.

3. Accounts and Security

To access certain features of the Services, you must register for an account with a valid email address and password. You are responsible for:

Maintaining the confidentiality of your account credentials and API keys;
All activities that occur under your account, whether authorized or not;
Notifying us immediately of any unauthorized access or suspected security breach;
Ensuring your use of the Services complies with these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users.

4. Description of Services

Maxam AI provides a unified API gateway and platform that integrates multiple third-party AI models (including large language models, image generation, and other AI services). The Services include:

Access to various AI models through a unified, OpenAI-compatible API;
A web-based chat interface for interacting with AI models;
API key management, usage tracking, and token-based billing;
Account recharge and payment management.

AI-generated content may be inaccurate, incomplete, or offensive. You are solely responsible for reviewing and verifying any output before relying on it. We do not guarantee the availability, accuracy, or fitness for a particular purpose of any third-party model.

5. Acceptable Use Policy

You agree NOT to use the Services to:

Generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful;
Create content that exploits or harms minors in any way;
Generate malware, phishing content, or other material intended to cause technical harm;
Infringe upon the intellectual property, privacy, or other rights of any person or entity;
Attempt to gain unauthorized access to the platform, other accounts, or computer systems or networks;
Interfere with or disrupt the Services, including through excessive API requests, automated abuse, or circumventing rate limits;
Reverse engineer, decompile, or attempt to extract the source code of the platform, except as permitted by applicable law;
Resell, sublicense, or commercially redistribute access to the Services without our prior written consent;
Use the Services in violation of any applicable local, national, or international law or regulation.

We may investigate suspected violations and suspend or terminate accounts, and cooperate with law enforcement where required.

6. Billing, Payments, and Quota

The Services operate on a prepaid, pay-as-you-go model. Usage of AI models is metered in tokens (or equivalent units) and deducted from your account quota.

Recharge: You may add funds to your account through the payment methods we make available, which may include cryptocurrency (e.g., USDT) and other channels.
Fees: Prices for each model are displayed on the platform and may change from time to time. The price applicable to your usage is the one in effect at the time of use.
Non-refundable: Recharged amounts are non-refundable except as required by applicable law. Unused quota does not expire as long as your account remains active and in good standing.
Taxes: You are responsible for any taxes applicable to your purchases where required by law.
Overdraft: Service may be suspended when your quota is exhausted. You are responsible for monitoring your balance.

7. API Usage and Rate Limits

API keys issued to you are for your use only. You must keep them secure and may not share, publish, or embed them in public code repositories. We may impose rate limits, request caps, or other restrictions to protect the stability of the platform. Abnormal or abusive usage patterns may result in throttling or account suspension without prior notice.

8. Intellectual Property

The platform, including its software, design, branding, and documentation, is owned by Maxam AI or its licensors and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the platform except for the limited right to use it in accordance with these Terms.

Subject to your compliance with these Terms and applicable third-party model licenses, you own the input you submit ("Input") and receive ownership of the AI-generated output ("Output") to the extent permitted by applicable law and the underlying model providers. You are solely responsible for your Input and Output, including ensuring they do not violate these Terms or any third-party rights.

9. Service Availability and Modifications

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Third-party model providers may change, deprecate, or discontinue models at any time, which may affect model availability. We may modify, suspend, or discontinue any part of the Services, including available models and pricing, at any time with or without notice. Where reasonably practicable, we will provide advance notice of material changes.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE. AI MODELS MAY PRODUCE INCORRECT OR MISLEADING INFORMATION ("HALLUCINATIONS"), AND YOU SHOULD INDEPENDENTLY VERIFY ANY IMPORTANT INFORMATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXAM AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS (USD $50). NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

12. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your account and access to the Services at our sole discretion, including for violation of these Terms, fraudulent or abusive usage, or non-payment.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. The current version is always available at this page with the "Last Updated" date above. If we make material changes, we will notify registered users by email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Maxam AI is established, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration or in the courts of the aforementioned jurisdiction, as required by applicable law.
